1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you", "your") and RM SOFTWARE LTD, a company registered in England and Wales ("we", "us", "our"), governing your access to and use of the PrepCCAT website and all related services (collectively, the "Service").
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
The Service provides an online preparation platform for cognitive aptitude assessments. We offer:
- Free tier: a sample test with a fixed set of practice questions, available to all registered users.
- Paid tier: unlimited practice tests, available after a one-time purchase.
PrepCCAT is an independent preparation tool and is not affiliated with, endorsed by, or associated with Criteria Corp or any test publisher. "CCAT" and "Criteria Cognitive Aptitude Test" are trademarks of Criteria Corp. All other trademarks are the property of their respective owners.
3. Eligibility and Account
You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement.
You must authenticate via a valid third-party account (currently Google). You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorised use of your account.
4. Payment and Access
PrepCCAT Pro requires a one-time payment at the price displayed on the Service at the time of purchase. This grants you permanent access to all Pro features, subject to these Terms. There are no recurring charges or subscription fees.
All payments are processed by a third-party payment processor (Stripe). By making a purchase, you also agree to the payment processor's applicable terms and conditions. We are not responsible for any errors, failures, or delays caused by the payment processor.
All prices are displayed in US Dollars (USD) unless otherwise indicated. We reserve the right to change pricing at any time, but price changes will not affect purchases already completed.
5. Refund Policy
We offer a 7-day refund window. If you are not satisfied with the Service, you may request a refund within 7 days of your purchase by emailing [email protected]. Refunds will be processed to your original payment method within 5-10 business days.
We reserve the right to decline refund requests where there is evidence of abuse, excessive usage inconsistent with genuine evaluation, or any violation of these Terms. Upon refund, access to paid features will be revoked immediately.
If you experience a technical issue that prevents you from accessing the Service, contact us and we will work to resolve it or issue a refund at our discretion.
Nothing in this section limits or excludes your statutory rights under applicable consumer protection laws, including the UK Consumer Rights Act 2015.
6. Acceptable Use
You agree that you will not:
- Share, transfer, or provide access to your account to any other person.
- Reproduce, copy, distribute, sell, resell, sublicense, or commercially exploit any part of the Service or its content.
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code of the Service.
- Use automated tools, bots, scrapers, or similar means to access, extract, or interact with the Service.
- Circumvent, disable, or otherwise interfere with any security, authentication, or access-control features of the Service.
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of these provisions.
7. Intellectual Property
All content available through the Service — including but not limited to questions, explanations, text, graphics, logos, and software — is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted herein are reserved.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial preparation purposes only. This licence does not include any right to reproduce, distribute, modify, publicly display, or create derivative works from any content on the Service.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Without limiting the foregoing, we make no representations or warranties that:
- The Service will be uninterrupted, timely, secure, or error-free.
- The content provided through the Service is accurate, complete, or current.
- Use of the Service will result in any particular test score, outcome, or employment result.
- The Service will meet your specific requirements or expectations.
- Any errors or defects in the Service will be corrected.
The Service is an independent preparation tool. We do not guarantee that our content reflects the format, content, difficulty, or scoring of any actual cognitive aptitude assessment administered by any third party.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE, OUR DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR FIFTY US DOLLARS (US$50), WHICHEVER IS GREATER.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law (including under the UK Consumer Rights Act 2015).
10. Indemnification
You agree to indemnify, defend, and hold harmless us and our directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit or transmit through the Service.
11. Modifications to the Service
We reserve the right to modify, suspend, or discontinue any aspect of the Service (including any content, features, or pricing for future purchases) at any time, with or without notice, and without liability to you. We are not obligated to maintain, support, or update the Service.
12. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ceases immediately.
You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not entitle you to a refund except as expressly set out in Section 5.
Sections 7 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), 14 (Governing Law), and 15 (General Provisions) shall survive termination of these Terms.
13. Third-Party Links and Services
The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Your use of third-party services is at your own risk.
14. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer habitually resident in another jurisdiction, nothing in this section deprives you of the protection of the mandatory consumer protection provisions of your country of residence.
15. General Provisions
- Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us with respect to the Service and supersede all prior or contemporaneous communications, whether oral or written.
- Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
- Waiver. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.
- Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government action, power failure, internet or telecommunications failure, or third-party service outages.
16. Changes to These Terms
We reserve the right to modify these Terms at any time. The effective date at the top of this page indicates when the Terms were last revised. Where changes are material, we will use reasonable efforts to notify you. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
